To non-lawyers, contracts serve to put two or more parties “on the same page” with respect to a transaction or relationship. To lawyers, however, every piece of paper is potential evidence in a lawsuit between the parties who have signed it and the contract often serves as “Exhibit A.” With increased regulatory oversight, there is more emphasis on the written terms of a business relationship than ever before. Whether a transaction is business-to-business or to an end user, the terms of the written contract can be vitally important. We work with our clients in a “preventive maintenance” capacity to ensure their contracts are consistent with their business practices and are compliant with applicable law, for instance, the Consumer Fraud Act which can bring enhanced liability and penalties (potentially including personal liability) for seemingly benign or trivial violations.
